This policy document defines the remuneration systems and practices of our board members and senior executives who have administrative responsibility within the scope of SPK regulations. Members of the executive board of directors are paid within the scope of the policy determined for senior executives, the details of which are explained below. Senior Executive remuneration consists of two components: fixed and performance-based. Our remuneration policy; wage and benefits management; market conditions, fair, objective, appreciating high performance, competitive, rewarding and motivating criteria are organized and implemented in line with its main objectives. For Senior Executives Our company's "Senior Executive Remuneration Policy"; It has been created by taking into account the applications that have been tried and developed by many companies in the world and in Turkey, which are the result of scientific studies, researches and investigations. In this context, while determining the wage level, the structure and competition conditions of the sector in which the Company operates, the continued production and sales activities, the prevalence of activity points, foreign activities, the structure of the subsidiaries owned, their weight in the total, the level of knowledge required for the continuation of the activities and the number of employees are taken into consideration. are kept. Remuneration of senior executives has been graded within the framework of the Company's operating diversity and volume, taking into account the knowledge, skills, competence, level of experience, scope of responsibility and problem-solving criteria required by the position. While determining the monthly fixed wages of senior executives according to the determined levels, the internal balances are tried to be maintained and the “Senior Executive Wage”, which includes leading companies across Turkey, is determined. research is used. Thus, a fair and competitive remuneration in the market is ensured within the Company. The Corporate Governance Committee takes into account the long-term goals of the Company, in addition to the above criteria, in determining the remuneration principles and criteria for senior executives and in formulating remuneration proposals. Remuneration proposals created within this framework are submitted to the Board of Directors. For Board Members While determining the remuneration levels of the members of the board of directors, in addition to the practices coming from the corporate line, the responsibilities of the board member in the decision-making process, the knowledge, skills, competence, level of experience and time he spends are taken into account. Comparisons are made with member fee levels. The Corporate Governance Committee takes into account the long-term goals of the Company, in addition to the criteria mentioned above, in determining the principles and criteria for remuneration of the members of the board of directors, and in formulating proposals regarding remuneration.
